PROTOTYPE HUBS LTD. PRIVACY POLICY

At Prototype Hubs Ltd. (“Prototype Hubs“) we are committed to maintaining the accuracy, confidentiality, and security of your personal information. We have developed this Privacy Policy to describe our privacy policies and practices and to provide you with information about how we collect, use, and disclose the personal information of the individuals who visit our website (the “Site“) or use the Services we offer thorough this Site (“Services“). Please take a few minutes to read this policy so that you understand how we treat your personal information.

Personal Information

For the purposes of this Privacy Policy, we consider personal information to be any information that describes you as an identifiable individual, other than your business title or business contact information when used or disclosed for the purpose of business communications.

What Personal Information We Collect

You can visit the Site without directly telling us who you are. However, it is important to note that our web server may collect information related to your visit to the Site or use of the Services, including the IP address and domain used to access the Site or Services, the type and version of your browser, the website you came from to access the Site or the Services, the page you entered and exited at, any pages that are viewed by that IP address, and approximate geographic location from which you accessed the Site. We use this information to monitor the performance of the Site and the Services (such as number of visits, average time spent per page, number of page views), to determine interest in the Site and Services, and for business purposes, such as working to continually upgrade the Site and Services to meet user needs.

In addition, we may collect the personal information that you submit to us, such as your name, address, email address, phone number, and any other contact or other information that you choose to provide by:

  • using the “contact us” portions of the Site;

  • registering through the Site as a Customer/Manufacturing Partner/Subscriber;

  • if available, linking, connecting or logging into the Site through your social network accounts;

  • subscribing to our newsletter or mailing list;

  • submitting information through the Site;

  • exchanging private messages with other Users/Subscribers of the Site;

  • requesting or responding to a request for Services;

  • submitting information to make a purchase or complete an Order;

  • applying for a position or a program with Prototype Hubs through the Site; or

  • by corresponding with a representative of Prototype Hubs via e-mail using the hyperlinks created for that purpose.

Your personal information may also be collected when you participate in surveys or polls (if any), or respond to special offers, giveaways or promotions on the Site. In addition, the Site may store your electronic chat and other communications, which are necessarily incidental to the transmission and delivery of those communications and to prevent misuse of our Site and Services.

Other more fulsome information, such as your account status and choice of Services and preferences, is created and maintained by the Site and through our third-party providers (each with their own privacy policies) in the normal course of providing Services to our Users/Subscribers and other users. This may include the tracking of time spent within the Services. This information is collected and aggregated with the information of other Users in order to gain an understanding of the usage habits and preferences of our Users/Subscribers and to assist us with the selection and adjustment of future content and features for the Services.

As a general rule, Prototype Hubs collects personal information directly from you. In most circumstances where the personal information that we collect about you is held by a third party, we will obtain your permission before we seek out this information from such sources (such permission may be given directly by you, or implied from your actions).

Where permitted or required by applicable law or regulatory requirements, we may collect information about you without your knowledge or consent.

Why We Collect Personal Information

Prototype Hubs collects personal information to enable us to manage, maintain, and develop our business and operations, including:

  • to facilitate any communication between you and other Users on the Site;

  • if you register as a Customer, to facilitate your purchase of products and services through the Site and the delivery of the same to you;

  • if you register as a Manufacturing Partner, to facilitate your sale of Products or Services through the Site and the delivery of the same to Customers;

  • to enforce our Terms of Use, including investigating User conduct and, in some cases, banning a User temporarily or permanently from the Site or Services if that User engages in inappropriate conduct;

  • to establish, maintain and manage our relationship with you;

  • to review the products and services that we provide to or obtain from you;

  • to administer or otherwise carry out our obligations in relation to any agreement you have with us;

  • to be able to comply with your requests (for example, if you prefer to be contacted at a business or cellular telephone number and advise us of your preference, we will use this information to contact you at that number);

  • to perform our business and operations including record keeping or internal reporting functions;

  • to protect us against error, breach of contract, negligence, fraud, theft, illegal activity and damage to our goods and property;

  • to enable us to comply with applicable law or regulatory requirements; and

  • any other reasonable purpose to which you consent.

Additionally, we collect personal information for specific purposes that we may advise you of at or before the time that we collect such personal information.

How We Use and Disclose Your Personal Information

We may use and disclose your personal information:

  • for the purposes described in this Privacy Policy; or

  • for any additional purposes for which we have obtained your consent to the use or disclosure of your personal information.

Your personal information may be shared with our employees, contractors, consultants, affiliates, and other parties who require such information to assist us with establishing, maintaining, and managing our relationship with you, notifying you of products or services in which you may be interested, or developing, operating, and maintaining the Site and Services. In addition, personal information may be disclosed or transferred to another party in the event of a change in ownership of, or a grant of a security interest in, all or a part of Prototype Hubs or its business.

Prototype Hubs uses the services of many contractors and consultants in our business to perform such functions as fulfilling Orders, delivering packages, processing credit card payments, managing the Site and Services, or providing customer service.  We may share personal information with such organizations where they require such information to permit us to conduct our activities.  We may use contractual and other means to require such organizations to use such information only for the purposes of providing services to us and only under our instruction, and to act in a manner consistent with the relevant principles articulated in this Privacy Policy as well as applicable privacy law.

Further, your personal information may be disclosed:

  • as permitted or required by applicable law or regulatory requirements (for example, to comply with valid legal processes such as search warrants, subpoenas or court orders);

  • to protect the rights and property of Prototype Hubs;

  • to facilitate communication between users/subscribers of the Site or Services;

  • during emergency situations or where necessary to protect the safety of a person or group of persons;

  • where the personal information is publicly available; or

  • with your consent.

We may also use or disclose your personal information without your knowledge or consent where we are permitted or required by applicable law or regulatory requirements to do so.

Prototype Hubs, service providers and other parties, with whom we share information under this Privacy Policy, may perform activities outside of Canada.  As a result, in such cases your personal information may be used, stored, processed, disclosed, or accessed in other countries and be subject to the laws of those countries.

Email

From time to time we may email important information to you regarding the Site or the Services. This includes change announcements, confirmations, notifications, and payment receipts for Services that you have directly requested.

Where you request information from us or become a User/Subscriber of the Site or Services, we may use the email address that you provide to send you information about offers on products and services that we believe may be of interest to you. If you have asked us to put you on an email mailing list to provide you with certain information on a regular basis, or if we send you information about our products and services by email, you may ask us to remove you from the list at any time (using the unsubscribe instructions provided with each email and on the Site).

How We Use Cookies

When you visit the Site, we place a “cookie” on the hard drive of your computer to track your visit. A cookie is a small data file that is transferred to your hard drive through your web browser that can only be read by the website that placed the cookie on your hard drive. The cookie acts as an identification card and allows our Site to identify you and to record your passwords and preferences. The cookie allows us to track your visit to the Site or Services so that we can better understand your use of the Site and Services and customize and tailor it to better meet your needs.

Most web browsers are set to accept cookies. However, on most web browsers you may change this setting to have your web browser either: (1) notify you prior to a website placing a cookie on your hard drive so that you can decide whether or not to accept the cookie; or (2) automatically prevent the placing of a cookie on your hard drive. It should be noted that if cookies are not accepted, you may not be able to access the services or a number of web pages or features found on the Site.

Third-Party Advertisements or Links

Our Site and Services may contain links to other websites that may be subject to less stringent privacy standards. Prototype Hubs is not responsible for the privacy practices, policies, or actions of the third parties that operate these websites, including how such third parties collect, use, or disclose your personal information. You should review the privacy policies of these websites before providing them with personal information.

Your Consent is Important to Us

It is important to us that we collect, use, or disclose your personal information where we have your consent to do so. Depending on the sensitivity of the personal information, your consent may be implied, deemed (using an opt-out mechanism) or express. Express consent can be given orally, electronically, or in writing. Implied consent is consent that can reasonably be inferred from your action or inaction. By using the Site or Services, we assume that you consent to the collection, use, and disclosure of your personal information as explained in this Privacy Policy.

Typically, we will seek your consent at the time that we collect your personal information. In certain circumstances, your consent may be obtained after collection but prior to our use or disclosure of your personal information. If we plan to use or disclose your personal information for a purpose not previously identified (either in this Privacy Policy or separately), we will endeavor to advise you of that purpose before such use or disclosure.

As we have described above, we may collect, use, or disclose your personal information without your knowledge or consent where we are permitted or required to do so by applicable law or regulatory requirements.

Choice/Opt-Out

You may change or withdraw your consent at any time, subject to legal or contractual restrictions and reasonable notice, by contacting our Privacy Officer using the contact information set out below. In some circumstances, a change in or withdrawal of consent may severely limit your ability to use the Site or Services. All communications with respect to such withdrawal or variation of consent should be in writing and addressed to our Privacy Officer.

How Your Personal Information is Protected

Prototype Hubs endeavors to maintain physical, technical, and procedural safeguards that are appropriate to the sensitivity of the personal information in question. These safeguards seek to prevent your personal information from loss and unauthorized access, copying, use, modification, or disclosure.

Unfortunately, no data transmission over the Internet can be guaranteed to be 100% secure. As a result, while our systems seek to protect your personal information, we cannot warrant the security of any information you transmit to us electronically, and you do so at your own risk.

In addition, whenever you voluntarily disclose personal information on in emails, in the public portions of any profile you create on the Site, or in chat or comment areas on the Site or through the Services, that information can be collected and used by others. If you post personal information in public places, others may send you unsolicited email messages or attempt to contact you in other ways. Prototype Hubs is not responsible for the collection, usage, or disclosure of your personal information by third parties to whom you voluntarily disclose such information.

The security of your personal information is important to us, please advise our Privacy Officer immediately of any incident involving the loss of or unauthorized access, use, modification, or disclosure of personal information that is in our custody or control.

How Long Your Personal Information Retained

Except as otherwise permitted or required by applicable law or regulatory requirements, Prototype Hubs endeavors to retain your personal information only for as long as it believes is necessary to fulfill the purposes for which the personal information was collected (including, for the purpose of meeting any legal, record retention, accounting, or other reporting requirements or obligations). We may, instead of destroying or erasing your personal information, make it anonymous such that it cannot be associated with or tracked back to you.

Updating Your Personal Information

It is important that the information contained in our records is both accurate and current. If your personal information happens to change during the course of our relationship, please keep us informed of such changes. In some circumstances we may not agree with your request to change your personal information and will instead append an alternative text to the record in question.

Access to Your Personal Information

You can ask to see your personal information. If you want to review, verify, or correct your personal information, please contact our Privacy Officer. Please note that any such communication must be in writing.

When requesting access to your personal information, please note that we may request specific information from you to enable us to confirm your identity and right to access, as well as to search for and provide you with the personal information that we hold about you. We may charge you a fee to access your personal information; however, we will advise you of any fee in advance. If you require assistance in preparing your request, please contact the office of our Privacy Officer.

Your right to access the personal information that we hold about you is not absolute. There are instances where applicable law or regulatory requirements allow or require us to refuse to provide some or all of the personal information that we hold about you. In addition, the personal information may have been destroyed, erased, or made anonymous in accordance with our record retention obligations and practices. In the event that we cannot provide you with access to your personal information, we will endeavor to inform you of the reasons why, subject to any legal or regulatory restrictions.

European Visitors

As a visitor to our Site, you may be subject to European Union data protection laws. In addition to rights with respect to your personal data and privacy already included in this Privacy Policy, individuals residing in the European Economic Area have certain additional rights under the General Data Protection Regulation (GDPR), including:

  • Restrictions on Further Processing – You have the right, where there is a dispute in relation to the accuracy or basis of processing of your personal data, to request a restriction on further processing by Prototype Hubs.

  • Erasure – In certain circumstances only, you have the right to erasure of your personal data (“right to be forgotten”). Such requests may be made in writing to our Privacy Officer and will be assessed on their own merits.

  • Data Portability – You have the right to request a copy of the data the Site has collected on you in a structured, commonly used, and machine-readable format.

  • Rectification – You have the right to request an update or correction to your personal information, if that information is inaccurate or incomplete. Such requests may be made in writing to our Privacy Officer.

  • Withdraw Consent – You have the right to withdraw your consent at any time where Prototype Hubs relied on your consent to process your personal information. In addition, you may elect to opt-out of direct marketing activities. You may withdraw consent at any time by contacting our Privacy Officer.

Privacy Policy Jurisdiction

It is Prototype Hubs’ policy to comply with the privacy legislation within each Jurisdiction in which we operate. Sometimes the privacy legislation and/or an individual’s right to privacy are different from one Jurisdiction to another.

This Privacy Policy covers those activities of Prototype that are subject to the provisions of Canada’s federal and provincial privacy laws, as applicable. Consequently, the rights and obligations contained in this Privacy Policy may not be available to all individuals or in all Jurisdictions. If you are unsure if or how this Privacy Policy applies to you, please contact our Privacy Officer for more information.

Interpretation of this Privacy Policy

Any interpretation associated with this Privacy Policy will be made by our Privacy Officer. This Privacy Policy includes examples but is not intended to be restricted in its application to such examples, therefore where the word ‘including’ is used, it shall mean ‘including without limitation’.

This Privacy Policy does not create or confer upon any individual any rights, or impose upon Prototype Hubs any obligations outside of, or in addition to, any rights or obligations imposed by Canada’s federal and provincial privacy laws, as applicable. Should there be, in a specific case, any inconsistency between this Privacy Policy and Canada’s federal and provincial privacy laws, as applicable, this Privacy Policy shall be interpreted, in respect of that case, to give effect to, and comply with, such privacy laws.

Revisions to This Privacy Policy

From time to time, we may make changes to this Privacy Policy to reflect changes in its legal or regulatory obligations or in the manner in which we deal with your personal information. We will post any revised version of this Privacy Policy on our Site at https://prototypehubs.com/legal/privacy-policy and we encourage you to refer back to it on a regular basis.
